Terms of Service.
These terms govern your use of Uai. Plain language where possible; the binding text is what's on this page. Effective July 14, 2026.
1. Who we are
Uai is operated by Uai Tech, Inc., a Delaware
corporation ("Uai," "we," "us"). "The Service" means the hosted cloud
at app.runuai.com, the Uai host software you install on
your own machines, the desktop and mobile apps, and this website. By
creating an account or using the Service you agree to these terms. If
you use Uai on behalf of an organization, you represent that you can
bind that organization, and "you" means it.
2. What the Service is
Uai orchestrates AI coding agents that work on your code. Tasks run in containers on hardware you control (your "host"); our cloud provides orchestration, chat, and integrations. The host software is open source and separately licensed under the MIT license — that license, not these terms, governs the code itself; these terms govern your use of the hosted Service it connects to.
3. Your account
Keep your credentials secure; you're responsible for activity under your account and your organization's accounts. You must be at least 16 and legally able to enter this agreement. We may suspend accounts that violate these terms or put the Service or other users at risk.
4. Your content and your code
Your code, prompts, chat messages, and everything your agents produce remain yours. Source code stays on your host; the cloud stores orchestration data — task names, chat transcripts, configuration — to run the Service. We claim no ownership and use your content only to operate the Service, never to train models. You grant us the limited license needed to store, transmit, and display that data to you and the collaborators you invite.
5. Bring-your-own credentials and third-party services
Uai works with credentials you bring — AI provider keys or subscriptions (e.g. Anthropic, OpenAI), GitHub, and services you connect via MCP (e.g. Linear, Slack, Datadog). Those services bill you directly under their own terms; we don't resell or mark up inference. The cloud is designed to be secret-blind: your keys and tokens are stored on your host, not our servers (see security). You're responsible for complying with the terms of the services you connect.
6. AI output
Agents write code and take actions on your behalf, and AI output can be wrong. You are responsible for reviewing what agents produce before you rely on it, merge it, or ship it — and for the actions agents take through connections you authorize. Uai provides isolation tooling (containers, worktrees, per-task credentials), but you choose what agents may reach.
7. Acceptable use
Don't use Uai to break the law, infringe others' rights, develop malware, attack systems you don't own or lack permission to test, send spam, or interfere with the Service or other tenants. Don't resell the Service or misrepresent output authorship in ways designed to deceive. We may remove content or suspend access to enforce this.
8. Subscriptions and billing
Paid plans are billed in advance, monthly or annually, through our payment processor. Prices are at /pricing; we'll give notice before price changes take effect at your next renewal. Subscriptions renew automatically until canceled; cancellation takes effect at the end of the current billing period. Except where required by law, payments are non-refundable. Free tiers may be changed or withdrawn.
9. Termination
You can stop using Uai and delete your account at any time. We may terminate or suspend access for material breach of these terms. On termination, your subscription ends and we delete or de-identify your cloud data within a commercially reasonable period; your code and secrets were on your host all along.
10. Disclaimers
The Service is provided "as is" and "as available", without warranties of any kind, express or implied — including merchantability, fitness for a particular purpose, and non-infringement. We don't warrant that the Service will be uninterrupted, error-free, or that AI output will be accurate or safe to use without review.
11. Limitation of liability
To the maximum extent permitted by law, Uai Tech, Inc. will not be liable for indirect, incidental, special, consequential, or punitive damages, or lost profits, data, or goodwill. Our total liability for any claim arising out of the Service is limited to the greater of $100 or the amounts you paid us in the twelve months before the claim.
12. Governing law and disputes
These terms are governed by the laws of the State of Delaware, USA, excluding its conflict-of-laws rules. Disputes will be resolved in the state or federal courts located in Delaware, and both sides consent to their jurisdiction.
13. Changes to these terms
We may update these terms as the product evolves. For material changes we'll give reasonable notice (e.g. email or an in-app notice) before they take effect. Continuing to use the Service after that means you accept the updated terms.
